Terms and Conditions

Article 1. Purpose
This “Terms of Service” (hereinafter referred as “this agreement”), the platform service called “Busk Fulfillment” (hereinafter referred as the “service”) which is provided by MMV Global (hereinafter collectively referred as the “company”) establishes all the statements that users must comply with when using this service as well as the relationship of rights and obligations between the users and the company. Users of this service must read the full text of this Terms of Service before accepting this agreement. This agreement is applied same for electronic commerce, which is used by PC communication, smart phone application, wireless, etc., unless not being against on character of contract.

Article 2. Definition of terms
The definitions of terms used in this Terms of Service are as follows.
1.	User number (ID) : A combination of letters and numbers selected by “user” and approved by “Company” for “User” identification and “Service” use.
2.	Password : A combination, to check the identity of the “user” and protect the rights and secrets of the “user”, that can use English capital and small letters, numbers and special characters set by the “user” and registered in the system of the “company”.
3.	User : A person who has registered a membership by providing personal information to the “company” and has signed an agreement with the “company” to use the “service” in accordance with this Terms of Service.
4.	Company : MMV Global who supplies platform service “Busk Fulfillment”.
5.	Client : A user who uses supplying “Service” on the Busk Fulfillment platform.
6.	Logistics company : A user who registered own warehouse and services on the Busk Fulfillment platform.
7.	Service : Use of all or part of the Busk Fulfillment Service provided by the Company.
	Terms not defined in this Terms of Service shall be determined by relevant laws.

Article 3. Statement, description and revision of terms and others
1.	 “Company” places the contents of this Terms of Service, the name of corporation and representative, address of the business (including the address where the complaint can be handled), the business registration number, contact information (telephone, e-mail address, etc.) on the site’s initial service page so that “User” can easily identify it. However, the details of this Terms of Service can be viewed by the “User” through the connected page.
2.	The “Company” can amend this “Terms of Service” in the range that not violate related law such as Law on the regulation of terms, Electronic documents and electronic transaction basic law, Electronic financial transaction law, Digital signature law, Information network promotion and information protection act, etc.
3.	When the “Company” revises the terms, the date of application and the reason for the revision shall be stated in the notice on the site together with the current terms. However, in the case of a change that significantly affects the rights and obligations of the “User”, the contents will be notified without delay.
4.	If the “User” continues to use the “Service” of the “Company” after the announced date of application, it will be deemed to agree with the revised terms. “User” who does not agree to the revised terms may terminate the “Service” at any time.
5.	Matters not specified in this Terms of Service and interpretation of this Terms of Service shall be in accordance with the Act on consumer protection in Electronic commerce, Law on the regulation of terms, etc.

Article 4. Confidentiality obligations
1.	“User” has to recognize and protect the negotiate information, product information and any other information provided to each other in the conduct of business as intellectual property rights between the parties.
2.	The “User” has to share any information obtained in connection with the conduct of the business, but use all information for business purposes only.
3.	“User” must proactively protect the above information and prevent it from being disclosed to third parties.
4.	The parties are liable for civil and criminal liability for the consequences of violating confidentiality obligations.

Article 5. Terms and conditions for individual services
The “Company” may obtain the consent of “User” by setting the terms and conditions for each “Service” separately for each “Service” according to the details of the “Service” provided. In such a case, the Terms of Service, etc. for the individual “Service” take precedence over the Terms and Service.

Article 6. Establishment of Contract
1.	The contract shall be established by the agreement of the “User” and the acceptance of the “Company” for the application.
2.	The date of establishment of the contract shall be the time when the “Company” displays the sign-up completion in the application process.
3.	The contract may be restricted to join a member under 14 years old according to related laws.

Article 7. Application and acceptance
1.	“User” applies for membership by filling in the membership information according to the “Company” and signing that they agree to these terms.
2.	“Company” may request the “User” to verify the identity through a professional organization when applying for use under the preceding clause 7-1.
3.	“Company” may not accept this application or terminate the contract after registration according to follow clauses.
3-1.	When it is confirmed that the name of the user is not the real name of the user when the “company” performs the real name verification procedure.
3-2.	The same information as the e-mail address of the “User” who is already subscribed to
3-3.	If “User” steals someone else’s name, or if there is a false on the information, missing or misleading entry
3-4.	If “User” uses the “Service for any illegal purpose or for unfair profit (Except for the use of the “Service” within the scope approved by the “Company”).
3-5.	If “User” has or suspects that “User” has previously used fraudulently using the same or similar ID or Another ID
3-6.	Application for the purpose of violating related laws or impairing the well-being or morals of society
3-7.	There is insufficient room or technical difficulties in the operation of the “Service” of the “Company”. However, in this case, the consent for use may be withheld until the cause is resolved.
3-8.	If a child under 14 years old applies for use without obtaining the consent of a legal representative (Parent, etc.)
3-9.	Other cases where it is found to be in violation of this Terms and Service or any illegal or unfair use application and when it is deemed necessary by the “Company” in a reasonable judgment
4.	If there is any change in the application made at the time of registration, the “User” has to correct the personal information online or notify the “Company” about the change by e-mail or other means. “User” is responsible for any disadvantages resulting from your failure to notify to “Company”.

Article 8. Service Hours
The Service hour is based on 24 hours a day, 7days a week unless there is a particular problem with the company’s business or technology. However, due to regular check-ups, the date and time set by the “Company” are excluded.

Article 9. Obligation for User ID and Password
1.	The management responsibility for “User” ID and Password rests with “User”, and all civil and criminal penalties arising from neglect are the “User”.
2.	“User” must not allow third parties to use their ID and Password.
3.	If the “User” has stolen his ID and Password or recognized that the ID is being used by a third party, it must be immediately notified the “Company” and follow the company’s action, if any.
4.	“User” is responsible for all disadvantages arising from user’s failure to provide notice in accordance with the preceding clause or fail to comply with the company’s action.

Article 10. Obligation of “User”
1.	“User” shall comply with the matters notified by the “company”, such as related laws, provisions of this Terms of Service and the User guide, and shall not engage in any other act that interferes with the company’s business.
2.	“User” must not engage in the following clauses in relation to the use of the “Service”.
2-1.	Registration of false information when applying or changing “Service”
2-2.	Unauthorized changes in information posted by the “Company”
2-3.	Send or post any information (Computer program, etc.) other than the information provided by the “Company”
2-4.	Infringement of intellectual property rights, including copyright of “Company” and other third parties
2-5.	Defame the reputation of the “Company” and other third parties or interfere with their work
2-6.	Disclose or post any obscene or violent message, video, audio or other public order or information against the morals of the site
2-7.	Failure in duty of “User”
2-8.	Acts that violate other related laws or regulations set by the “Company”

Article 11. Obligation of Company
1.	“Company” does not prohibit acts that are prohibited by related laws and this Terms of Service, or contrary to public order and morals.
2.	“Company” protects user’s personal information (including credit information) so that “User” can use “Service” safely and complies with privacy policy.

Article 12. Concerning the Clients
1.	For the logistics sent to the “Logistics company”, “Client” shall bear all responsibility for the products such as defects, damages, etc. that occurred before arrival and inspection of the “Logistics company”
2.	Would be not delivered items that the “Logistics company” restricts to handling. Nevertheless, in the event of any problems due to delivery to the “Logistics company”, the “Client” is held responsible.
3.	If any problem arises by conveying the information (product, quantity, size, etc.) and other information that was given when requesting a quote from the “Logistics company”, the “client” is responsible at all.
4.	In case of mis-delivery due to incorrect information or missing information in the delivery request, the “Client” is responsible.
5.	Quotation and contracts received from the “Logistics company” will not be disclosed to other logistics companies and other related companies.

Article 13. Concerning the Logistics company
1.	“Logistics company” bear all responsibility for defects, damages, etc. on the product that occurred during the storage of logistics delivered from the “Client”.
2.	When “Logistics company” receives a request for a quote from “Client”, “Logistics company” must confirm the request and deliver the exact details. If “Logistics company” provides incorrect information and cause problems, the “Logistics company” assumes full responsibility.
3.	When “Logistics company” makes quotation, “Logistics company” has to provide an accurate quotation based on the information such as commodity, quantity and size requested by the “Client”. If “Logistics company” provides incorrect information and cause problems, the “Logistics company” assumes full responsibility.
4.	In the event of a problem caused by the mistake of “Logistics company” during the delivery, the “Logistics company” has to be responsible.

Article 14. Establishment of Contract
1.	“Company” may not approve user’s application for “Service” if it seems false or missing description of the application. If the “Company” confirms the fact after accepting the application, the “Company” can cancel the acceptance of the purchase application or stop providing “Service”.

Article 15. Payment
1.	“Company” provides a way for the “User” to pay the bills by T/T cash, card, Paypal or other means.
2.	The information entered by the “User” in relation to the payment of the payment and the responsibility and disadvantages incurred in connection with the information must be borne entirely by the “User”.
3.	“Company” may check whether or not the “User” has the right to use the payment method used to pay for the payment. Until such confirmation is completed, “Company” may suspend the transaction or in case of unavailable to check, may cancel or hold a refund of the transaction.
Article 14. Accepted Payment methods
1.	“User” may pay the payment for “Service” through the “Company” as one of the following clauses.
1-1.	Credit card, etc.
1-2.	Real-time bank transfer, Telegraphic transfer
1-3.	Virtual Account (However, the scope of use should be limited by “Company” policy.)
1-4.	Other payment methods specified by the “Company”
2.	In the case of a legal or technical problem in the payment of “User” or an obstacle that is not foreseen by “Company” (such as a banking network failure), “Company” can request a change of payment method or hold or decline a pending payment.

Article 15. Information provision
1.	The “Company” may provide a variety information about use of the “Service” to the “User” by e-mail, letter mail, SMS, etc., and the “User” may opt out. However, the “Company” may provide the information required for the use of the “Service”, such as changes in related regulations or policies, regardless of the rejection of the “User”.
2.	In addition to the information provision pursuant to Article 15 – clause 1, the “Company” shall provide an individual “Service” for the member information entered by the “User” in the form prescribed by the “Company”, when using the “Service” or after completing the purchase application.

Article 16. Notice to User
1.	If the “Company” notifies “User”, it can be made by the e-mail address or SMS that the “User” submitted to the “Company” when applying for subscription.
2.	In case that the “company” notifies a large number of unspecified “User”, it may be substituted for individual notice by posting on the site for more than one week. However, individual members shall be notified of matters that have a significant impact on their use.

Article 17. Restrictions on use
1.	“Company” may restrict the use of “Service”, such as warning, suspension, permanent suspension, etc., if “User” is for any of following reasons.
1-1.	Registered false information at the time of application
1-2.	Failure to pay dues paid by the “User” in connection with payment and other use of the “Service” on the due date
1-3.	Threaten order by interrupting other’s “Service” use or stealing information
1-4.	Use the “Company” to prohibit the law and this agreement, or to act against public order or morals
2.	Notwithstanding the clause 1, the Company shall not violate relevant laws such as illegal communication and hacking, distribution of malicious programs, etc. in violation of the name theft and payment theft, violation of copyright law and information communication network use and information protection. In that case, you can stop permanent use immediately. The suspension of permanent use pursuant to this section will suspend all benefits and use of the Services, and the Company will not compensate for this.
3.	If “User” is limited to use “Service” under this clause, “Company” may notify the “User” in accordance with Article 19 clause 1-2, and give the opportunity to clarify before the termination of membership.
4.	“Company” may restrict the use of “Service” for “User” in accordance with the laws on the promotion of images, movies and videos, and the Youth Protection Act.
5.	If the “Company” suspects it violates all laws of the Republic of Korea, such as the Resident Registration Act, the Copy right Act, or the Act on the Promotion of Information and Communication Network Use and Information protection, the “Company” restricts the use of the “service” after notification to the “User” and identify the facts through agency.

Article 18. Suspension of Service
1.	“Company” may suspend the provision of “Service” in following case.
1-1.	Unavoidable case due to construction such as maintenance of “service” use facilities
1-2.	When the telecommunication service provider stipulated under Telecommunication Business Act suspends telecommunications services
1-3.	If there are other force majeure reasons
2.	“Company” may limit or suspend all or part of the “Service” when there is a disruption in the normal use of the “Service” due to national emergency, power outages, failure of the service facility or congestion of the “Service”.

Article 19. Cancellation and termination of Use Agreement
1.	Company’s termination
1-1.	“Company” may terminate “User” agreement if the “User” has any of the following reasons, and the retention of information about the “User” is subject to the Privacy Policy.
a.	Confirmed situation that there is a ground for refusal of consent under Article 7-3
b.	Infringes on the rights, reputation and credit or other legitimate interests of “Company” or other “User” or is in violation of Korean laws public law
c.	Acts or attempts to interrupt smooth running of “Service” provided by “Company”
d.	When the facts falling under Article 19-1 and 19-2 are confirmed and requested clarification data, but they cannot be proved through objective date, or requests for vocation data are impossible
e.	The other company admits that it is necessary to refuse to provide “Service” based on reasonable judgment
1-2.	The contract ends when the “Company” notifies the “User” of the termination. In this case, the “Company” shall notify the termination through e-mail, telephone, or other means registered by “User”.
2.	Any damage incurred in connection with the termination of the service contract shall be borne by “User” whose termination has been terminated and “Company” shall not be held responsible.

Article 20. Personal privacy protection
1.	“Company” collects minimum personal information to the extent necessary to provide services when collecting personal information of “User”.
2.	When “Company” collects and uses the personal information of the “User”, “Company” shall notify “User” of the purpose and obtain consent.
3.	At any time, “User” may request viewing and correction of personal information held by “Company” and “Company” shall be obliged to take necessary measures without delay. If the Company requests correction of an error, “Company” will not use the personal information until the error is corrected. However, the procedures for viewing and correcting errors shall be as determined by “Company”.
4.	“Company” shall not use the collected personal information for purposes other than its purpose, and if a new purpose of use occurs or provides it to third party, “company” shall notify “User” of the purpose and obtain consent at the stage of use and provision. However, except as otherwise provided in the relevant laws and regulations.
5.	“Company” or a third party who has received personal information from “Company” shall destroy the personal information without delay when the purpose of collecting or receiving the personal information is achieved.

Article 21. Record keeping
In accordance with the Consumer Protection Act in Electronic commerce, etc., the “Company” shall keep the records for each of the following items for the period prescribed by the law.

Article 22. Disclaimer
1.	“Company” shall be exempted from responsibility for the provision of “Services if it cannot provide “Service” due to natural disaster or force majeure.
2.	“Company” shall not be liable for any obstacles to the use of “service” caused by user’s fault.
3.	“Company” shall not be liable for loss of revenue expected by the “User” by using “Service”, and shall not be liable for any damages caused by the data obtained through other “Service”.
4.	“Company” is not responsible for the contents of information, data, facts, reliability and accuracy posted by “User”.
5.	“Company” shall not be liable for any transaction between “User” or between “User” and third party though the “Service”.

Article 23. Dispute resolution
“Company” shall take priority of complaints and opinions raised by “User”. However, if prompt processing is difficult, “User” will be notified of the reason and processing schedule.

Article 24. Governing law and Jurisdiction
1.	The interpretation of this Terms and Service and disputes between “Company” and “User” are applied of the laws and regulations of Republic of Korea.
2.	If a lawsuit is filed between “Company” and “User” while using the “Service”, the court of competent jurisdiction of the “Company” is located.

Article 1. Effective Date
This Terms of Service shall become effective as of November 1, 2019.
